Terms of Service

Please read these terms carefully. By accessing or using PilePilot, you agree to be bound by these Terms of Service. If you do not agree, do not use the software.

1. Acceptance of Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User") and Pile Pilot LLC ("Company," "we," "us," or "our") governing your use of the PilePilot software application ("PilePilot" or the "Software").

By installing, accessing, or using PilePilot, you represent that you are at least 18 years of age and have the legal authority to enter into these Terms on behalf of yourself or the business entity you represent.

2. Description of Service

PilePilot is a bookkeeping and tax-planning software tool designed to assist small business owners and accounting professionals in organizing financial records, categorizing transactions, generating draft financial reports, and identifying potential tax strategies.

PilePilot is a software tool — not a tax or accounting firm. Use of PilePilot does not establish a client-accountant relationship with Pile Pilot LLC. All outputs generated by PilePilot are drafts only and must be reviewed and verified by you and, when appropriate, a qualified tax professional before use for any official, legal, or financial purpose.

3. License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use PilePilot for your internal business purposes. You may not:

The tax estimates, strategy suggestions, P&L reports, and all other outputs generated by PilePilot are automated draft workpapers only. They are not substitutes for consultation with a qualified tax professional, tax attorney, or other qualified professional. Pile Pilot LLC expressly disclaims any liability for reliance on PilePilot outputs without independent professional verification.

The AI-powered features of PilePilot use large language models that can produce errors, hallucinations, and outdated information. Every AI-generated categorization, suggestion, or estimate must be independently verified before use.

PilePilot may offer paid software services, including AI-assisted bookkeeping cleanup, tax-ready workpaper generation, exports, and workflow tools for self-preparation.

7. Intellectual Property

PilePilot, including its source code, design, algorithms, vendor seed database, IRS RAG index, and all related intellectual property, is and remains the exclusive property of Pile Pilot LLC. Nothing in these Terms transfers any intellectual property rights to you.

Your financial data remains your property. We claim no ownership over data you input into PilePilot.

8. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL PILE PILOT LLC, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION:

OUR TOTAL CUMULATIVE LIABILITY TO YOU FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THESE TERMS OR YOUR USE OF PILEPILOT SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US IN THE THREE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED DOLLARS ($100).

9. Indemnification

You agree to indemnify, defend, and hold harmless Pile Pilot LLC and its affiliates, officers, directors, employees, agents, and licensors from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees (including reasonable attorneys' fees) arising out of or relating to: (a) your use of PilePilot; (b) your violation of these Terms; (c) your violation of any applicable law or regulation; or (d) your reliance on PilePilot outputs without independent professional verification.

10. Disclaimer of Warranties

PILEPILOT IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, OR NON-INFRINGEMENT. WE DO NOT WARRANT THAT PILEPILOT WILL BE ERROR-FREE, UNINTERRUPTED, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Termination

We reserve the right to terminate or suspend your access to PilePilot at any time, with or without cause, and with or without notice. Upon termination, the license granted under these Terms will immediately cease. All provisions that by their nature should survive termination (including intellectual property, limitation of liability, and indemnification) shall survive.

12. Governing Law and Dispute Resolution

These Terms shall be governed by the laws of the Commonwealth of Pennsylvania, without regard to conflict of law principles. Any dispute arising out of or relating to these Terms or PilePilot shall first be submitted to good-faith mediation. If mediation fails, disputes shall be resolved through binding arbitration administered under the rules of the American Arbitration Association, with proceedings conducted in Philadelphia, Pennsylvania.

13. Changes to Terms

We reserve the right to modify these Terms at any time. Material changes will be communicated via in-app notice. Your continued use of PilePilot after such notice constitutes acceptance of the updated Terms.
